These Terms of Service (“Terms”) govern the purchase and use of products, services, and the website operated by Surface Supply LLC (“Surface Supply,” “we,” “us,” or “our”). By purchasing products from, accessing, or using our website or services, you (“Customer,” “you”) agree to be bound by these Terms.

If you do not agree to these Terms, do not place an order or use our website or services.

1. Orders & Acceptance

All orders are subject to acceptance by Surface Supply LLC. We reserve the right to:

  • Refuse or cancel any order for any reason

  • Limit quantities

  • Discontinue products without notice

An order is not considered accepted until it has been confirmed and processed by Surface Supply.

2. Pricing & Payment

  • All prices are listed in U.S. dollars unless otherwise stated

  • Prices are subject to change without notice

  • Payment terms are due as stated on the invoice or at checkout

Surface Supply reserves the right to suspend or cancel orders for non-payment, pricing errors, or credit-related issues.

3. Errors, Inaccuracies & Order Cancellations

Occasionally, information on our website or in our communications may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, freight charges, availability, or lead times.

Surface Supply LLC reserves the right to:

  • Correct any errors or omissions

  • Update or change information at any time

  • Cancel or refuse orders affected by such errors, even after an order has been submitted or payment processed

4. Shipping & Delivery

Shipping dates are estimates only. Surface Supply LLC is not responsible for delays caused by:

  • Freight carriers

  • Customs or port delays

  • Force majeure events

  • Acts beyond our reasonable control

Risk of loss transfers to the Customer upon delivery of the shipment to the carrier, unless otherwise agreed in writing.

5. Inspection & Claims

Customer must inspect all shipments immediately upon receipt.

Any claims related to:

  • Damaged products

  • Defective products

  • Incorrect shipments

must be submitted promptly via email to contact@surfacesupply.com. Failure to report issues within the applicable return window may result in denial of the claim.

6. Returns, Credits & Refunds

All returns are governed by the Surface Supply LLC Refund & Return Policy, which is incorporated by reference into these Terms.

Key provisions include:

  • Prior written Return Authorization is required

  • Partial rolls, special orders, and custom products are non-returnable

  • Approved returns are issued as store credit only

  • Restocking fees may apply

7. Product Information & Website Disclaimer

Product descriptions, specifications, images, colors, finishes, performance characteristics, and other information provided on the website or in marketing materials are approximate and for reference purposes only.

Surface Supply LLC does not guarantee that:

  • Product images accurately reflect final appearance

  • Colors or finishes displayed on screens match actual materials

  • Information on the website is current or complete

Customer is solely responsible for verifying product suitability prior to purchase.

8. Product Use & Installation Disclaimer

Surface Supply LLC supplies materials only. We do not provide installation services, site preparation, engineering, or project-specific application guidance.

Customer is solely responsible for:

  • Determining product suitability for the intended application

  • Proper storage, handling, preparation, and installation

  • Compliance with applicable building codes, fire ratings, safety standards, and local regulations

Surface Supply LLC makes no guarantees regarding installation performance or results.

9. Limited Warranty

To the fullest extent permitted by law:

  • Products are provided “AS IS” and “AS AVAILABLE”

  • Any manufacturer warranty applies solely at the manufacturer’s discretion

Surface Supply LLC disclaims all implied warranties, including but not limited to merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Surface Supply LLC shall not be liable for indirect, incidental, consequential, punitive, or special damages

  • Total liability shall not exceed the amount paid by Customer for the specific product giving rise to the claim

This includes, without limitation:

  • Lost profits or revenue

  • Project delays

  • Labor or installation costs

  • Business interruption

11. Indemnification

Customer agrees to indemnify, defend, and hold harmless Surface Supply LLC from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of:

  • Improper use or installation of products

  • Misrepresentation of product capabilities

  • Violation of applicable laws, codes, or regulations

12. Prohibited Use of Website & Services

You agree not to use the website or services to:

  • Violate any applicable law or regulation

  • Infringe upon intellectual property rights

  • Transmit malware, malicious code, or harmful data

  • Scrape, harvest, or misuse site content or pricing

  • Interfere with the security or operation of the website

Surface Supply LLC reserves the right to restrict or terminate access for violations of this section.

13. Termination of Access

Surface Supply LLC may suspend or terminate access to its website, services, or purchasing privileges at any time, with or without notice, for any violation of these Terms or for any business reason.

Obligations and liabilities incurred prior to termination shall survive termination.

14. Intellectual Property

All trademarks, logos, product names, images, text, and other content provided by Surface Supply LLC are our exclusive property and may not be used without prior written consent.

15. Severability

If any provision of these Terms is found to be unlawful or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Refund & Return Policy and any policies referenced herein, constitute the entire agreement between the parties and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.

17. Governing Law & Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Any legal action shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

18. Modifications

Surface Supply LLC reserves the right to modify these Terms at any time. Updated Terms become effective upon posting. Continued use or purchasing constitutes acceptance of the revised Terms.
